How do you wire up Rinnai EX38CTWN 204000045 to Nest Learning 3rd Gen?

Although the Rinnai 204000045 wall thermostat installation kit instructions show a 3-wire connection schematic, I am confused as wires to connect.  First, what terminals in the Nest are used?  Then, what wires from the WiFi module go where?

None of the Nest thermostats will work via Wi-FI to that device.

Just follow the instruction provided in the installation manual that comes with the kit

Connect one of the black wires to the W1 terminal on the Nest

Connect the other black wire and one side of the 24VAC adapter to the C terminal on the Nest

And, connect the other side of the 24VAC adapter to the Rh terminal of the Nest

Not what Rinnai says.  https://youtu.be/X_aOnLu0XsE  It specifically mentions my model as one on which it does.

Yes, the Nest thermostats are Wi-Fi capable, but not to any type of HVAC system. You have to have it hardwired to the HVAC system and the Wi-FI is only for connecting to your mobile device to control it.
